Affiliate Terms

2.1 Commission
Ambassadors earn 15% commission on the net sale price (excluding GST, shipping, and gift wrapping) of every Qualifying Sale made using their unique discount code.

2.2 Qualifying Sale
A completed, paid order using your code that is not later cancelled, refunded, or charged back, and is not a return exercised under Australian Consumer Law (see Section 9).

Excluded from commission:
Orders refunded, cancelled, or returned (including under a consumer guarantee) within [30] days of purchase. Purchases made by you for your own personal use. Orders placed using fraudulent, stolen, or unauthorised payment methods. Sales generated in violation of Section 4 (Promotional Conduct).

2.3 Attribution
Commission is earned on any order where your discount code is applied at checkout.

2.4 Payment
Commissions are paid [monthly, on the 15th of the following month] through the Goaffpro app via bank transfer or PayPal. Amounts below the threshold roll over. The 15% commission rate is strictly inclusive of GST (where applicable).

2.5 Taxes & GST
You are solely responsible for your own income tax obligations. If you are registered, or required to be registered, for GST, commission payments will be treated as GST-inclusive.

3.1 Your discount code offers customers 11% off, unless otherwise agreed in writing. You may not advertise a different discount or combine it with unauthorised promotions.

3.2 Unless expressly authorised in writing, you may NOT: list your code on coupon/deal/cashback aggregator sites; bid on Honey Garden Studio’s brand or product names in paid search/social ads; send unsolicited bulk electronic messages containing your code (see Spam Act 2003 (Cth); or use your code in a way that misleads or deceives consumers about price or affiliation (see Section 9).

4.1 All public content referencing Honey Garden Studio must follow the business’s brand and content guidelines.

4.2 Required Disclosure
Any post, video, story, or content promoting the business’s or your code must clearly and prominently disclose the commercial relationship (e.g., #sponsored #ad, #honeygardenambassador, or "I earn a commission on sales through my code"), in accordance with the AANA Code of Ethics and ACCC guidance on influencer marketing disclosure. Disclosures must appear before any "more" cutoff and not be buried among unrelated hashtags.
4.3 You will not: make false, misleading, or unsubstantiated claims about the products (including therapeutic or health claims for example: “cures anxiety or treats depression”); disparage Honey Garden Studio, its products, or competitors in bad faith; post unlawful, defamatory, obscene, or discriminatory content; or impersonate the Business or its staff. Instead, (if relevant) you can make lifestyle claims such as "helps structure my day" or "encourages mindfulness and presence" etc.

4.4 The Business may request removal of non-compliant content, and you agree to comply as soon as possible or within two business days.

5.1 Honey Garden Studio grants you a limited, non-exclusive, revocable license to use its trademarks, logos, and approved marketing assets solely to promote the Program during your participation. This ends automatically when your participation ends.

5.2 You may not modify Brand Assets or register any domain/handle/trademark confusingly similar to Honey Garden Studio’s marks.

5.3 Content you create featuring Honey Garden’s products, if submitted or tagged to Honey Garden Studio, grants the business a perpetual worldwide, royalty-free license to repost and reuse it (with attribution to you where practicable). You retain ownership and moral rights are not affected except as consented to under the Copyright Act 1968 (Cth).

6.1 You participate as an independent contractor, not an employee, agent, or partner. No employment relationship or employee entitlements (leave, minimum wage, superannuation guarantee, etc.) arise from this Ambassador Program.

6.2 You should hold and quote an ABN.

7.1 Grounds for immediate termination and forfeiture of pending commissions include: self-referrals or misuse of your own code for personal discounts; fake accounts, orders, or traffic; cookie stuffing or manipulative tracking; unapproved incentivised traffic; or any activity intended to circumvent these Terms.

8.1 These Terms remain in effect for as long as you participate.

8.2 Either party may terminate at any time, or immediately by Honey Garden Studio in cases of suspected fraud, IP misuse, or breach.

8.3 On termination: your license to Brand Assets and your code are revoked immediately; commissions earned prior to termination (and not forfeited under Section 7) are paid on the next regular cycle, subject to the standard refund/return window; you must remove Brand Assets from your platforms within 7 days.

9.1 Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you or the Business’s customers under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded.

9.2 Subject to Section 9.1, the Ambassador Program is provided "as is," with no guarantee of any particular earnings level.

9.3 To the extent permitted by law, the Business’s total liability arising from the Ambassador Program or these Terms will not exceed the total commissions paid to you in the [three (3) months] preceding the claim, and excludes indirect or consequential loss.

9.4 Indemnification
You agree to indemnify Honey Garden Studio against claims, losses, or expenses arising from your content, promotional activity, breach of these Terms, or violation of law or a third party's rights.

Honey Garden Studio handles personal information (including your name, payment details, and sales data) in accordance with its Privacy Policy and the Privacy Act 1988 (Cth), including Australian Privacy Principles. By participating, you consent to the collection and use of your information as described in that policy.

Non-public information shared with you (commission rates, sales data, unreleased products, marketing strategy) is confidential and may not be disclosed or used outside the Program.

Modification: Honey Garden Studio may update these Terms; material changes notified via [email / ambassador portal]; continued participation = acceptance.
Governing Law: Governed by the laws of Queensland, Australia. Disputes are subject to the exclusive jurisdiction of the courts of that state/territory and Australia.

Assignment: You may not assign your participation without written consent; Honey Garden Studio may assign in connection with a merger or sale of assets.

These Terms are the whole agreement between you and Honey Garden Studio, regarding the Ambassador Program; if a clause is unenforceable, the rest remains in effect.
